II. BACKGROUND INFORMATION ABOUT “NATIONAL ELECTRIC GRID OF UZBEKISTAN” JSC (NEG Uz)

   The Government of Uzbekistan has been undertaking major reforms in the power sector. Sector oversight functions have been consolidated under the Ministry of Energy (MoE) that was established in February 2019. A subsequent decision was made in March 2019 to unbundle Uzbekenergo into separate Generation (“Thermal Power Plants” JSC), Transmission (“NEG Uz” JSC), and Distribution (“Regional Distribution Network” JSC) companies.

   Going forward, based on good international practices, the Government intends to properly sequence the reforms and take actions on the foundational aspects, along with the institutional reforms, which include, among others: (i) establishing an enabling corporate governance structure for the unbundled entities to be effectively functional; (ii) improving the sector policy and regulatory framework; (iii) undertaking energy tariff and subsidy reforms, along with introducing transparent cash flow and management, to ensure financial recovery of the sector utilities; (iv) initiating a clean energy transition with successful private investments on a competitive basis; (v) improving service delivery for the benefit of Uzbekistan’s citizens; and (vi) strengthening the human and institutional capacity of the Ministry of Energy.

   The role of transmission company NEG Uz is entrusted with the following key functions:

   • transmission system operation and development;

   • transmission of electricity within the country;

   • regional connectivity and electricity trade (export and import);

   • dispatch management of the power system;

   • single purchaser of electricity from generation companies, including independent power producers, as well as the sale of electricity to distribution companies.

III. WHAT WE ARE LOOKING FOR IN OUR NEW BOARD MEMBERS:

   • An affinity with and understanding of the functions of NEG Uz;

   • Board members who are complementary in terms of knowledge, experience and networks, including energy sector, profit/non-profit sector, public/private sector, business, social, governmental, administrative, financial, economic, legal and political backgrounds;

   • Willingness where/when required using their networks in their ambassadorship of NEG Uz and its aims

   • Ability to endorse the objectives of the NEG Uz with conviction;

   • Ability to test (and help formulate) the strategy and direction of the company and operate at a strategic level, whilst being able to analyze and form an opinion on matters submitted to the Board by the Executive Director;

   • Ability and attitude to assist the Executive Director with advice and as a sounding board;

   • Ability to provide advice and supervision in a team context, whilst keeping the balance between involvement and distance;

   • Integrity, sense of responsibility, an independent attitude, adhering to the Values of NGU;

   • Knowledge of management, finance and marketing are all advantages;

   • Knowledge of developments in the international/expat area in the Uzbekistan.

IV. QUALIFICATIONS:

   • University degree in an energy-related discipline (e.g. electrical engineering, energy economics, or energy finance, business and administration);

   • 20 years of relevant experience including 10 years of experience in senior management positions of transmission companies and/or system operators;

   • Professional working proficiency in Russian and/or English and/or Uzbek.
